3Wheels AI provides technology, artificial intelligence, automation, analytics, software, platform-based, mobility-related, and business-support services.

The exact nature of the Services may vary depending on the product, plan, agreement, service order, proposal, or arrangement applicable to you.

By using the Platform or Services, you confirm that:

• You have read and understood these Terms
• You agree to comply with these Terms
• You have the legal authority to enter into these Terms
• If you are using the Services on behalf of a company or organization, you have authority to bind that company or organization

If you do not agree with any part of these Terms, you should stop using the Platform immediately.

For the purpose of these Terms:

• "3Wheels AI," "Company," "we," "us," or "our" means 3Wheels AI

"User," "Customer," "you," or "your" means any individual, company, business, organization, or other entity that accesses or uses the Platform or Services.

"Platform" means the 3Wheels AI website, applications, software, dashboards, APIs, tools, systems, and any other digital interface provided by 3Wheels AI.

"Services" means the products, tools, software, AI-powered features, automation solutions, analytics systems, technical services, support services, and other services provided by 3Wheels AI.

"User Content" means any information, data, text, files, documents, images, prompts, inputs, business data, feedback, or other materials submitted, uploaded, transmitted, or shared by you through the Platform.

"Service Order" means any separate order form, proposal, quotation, statement of work, subscription plan, agreement, or written arrangement entered into between you and 3Wheels AI.

Your use of the Platform is also governed by our Privacy Policy.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy, which explains how we collect, use, store, protect, and process personal data.

3Wheels AI may provide access to AI-powered tools, automation systems, software services, data-processing tools, analytics, APIs, dashboards, integrations, and other technology solutions.

Subject to these Terms and any applicable Service Order, 3Wheels AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for lawful business or personal purposes.

You agree that the Services may change, improve, or be modified from time to time. We may add, remove, suspend, or update features at our discretion.

Where a separate Service Order applies, the terms of that Service Order will apply to the specific Services covered under it. If there is a conflict between these Terms and a Service Order, the Service Order will prevail only for that specific Service.

To access certain Services, you may be required to create an account or provide certain information.

You agree to:

• Provide accurate, complete, and current information
• Keep your login details secure
• Not share your account credentials with unauthorized persons
• Immediately notify us of any unauthorized access or security breach
• Remain responsible for all activity under your account

3Wheels AI will not be responsible for losses caused by unauthorized use of your account due to your failure to protect your credentials.

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.

If you are using the Services on behalf of a company, business, or organization, you represent that you are authorized to accept these Terms on its behalf.

We may suspend or terminate access if we believe a user is not eligible to use the Platform or has violated these Terms.

You agree to:

• Use the Platform only for lawful purposes
• Comply with all applicable laws and regulations
• Provide accurate and lawful information
• Use the Services only as permitted by these Terms

You must not use the Platform or Services to:

• Violate any law, regulation, or third-party right
• Upload, share, or process unlawful, harmful, abusive, defamatory, obscene, hateful, discriminatory, or misleading content
• Infringe intellectual property rights
• Violate privacy or data protection rights
• Upload viruses, malware, spyware, ransomware, or harmful code
• Attempt to gain unauthorized access to systems, accounts, networks, or data
• Interfere with or disrupt the Platform
• Reverse engineer, decompile, disassemble, copy, or modify any part of the Platform
• Scrape, crawl, extract, or harvest data without written permission
• Resell, sublicense, rent, lease, or commercially exploit the Services without authorization
• Use the Services to send spam, phishing messages, unsolicited communications, or fraudulent content
• Impersonate another person, company, or entity
• Use the Services to develop competing products by copying our features, designs, systems, or content
• Overload, damage, or impair our infrastructure
• Submit confidential or sensitive third-party data without proper authorization
• Use AI outputs or automation features in a harmful, unlawful, or misleading manner

3Wheels AI reserves the right to suspend or terminate access if any prohibited use is detected.

You retain ownership of the content and data you submit to the Platform.

By submitting User Content, you grant 3Wheels AI a limited, worldwide, non-exclusive, royalty-free right to use, host, store, process, transmit, display, and modify such User Content only to the extent necessary to:

• Provide the Services
• Operate and maintain the Platform
• Improve performance and security
• Troubleshoot issues
• Comply with legal obligations
• Enforce these Terms
• Provide support
• Develop and improve our Services, where permitted by law and contract

You represent and warrant that:

• You own or have valid rights to submit the User Content
• The User Content does not violate any law or third-party rights
• You have obtained all required consents and permissions
• The User Content does not contain harmful code or unlawful material

3Wheels AI does not verify the accuracy, legality, or quality of User Content and is not responsible for User Content submitted by users.

Where you provide business, customer, operational, or end-user data to 3Wheels AI, you are responsible for ensuring that:

• Such data has been lawfully collected
• You have authority to share such data with 3Wheels AI
• All required consents and notices have been provided
• The data does not violate privacy, intellectual property, contractual, or other legal rights
• Your use of the Services complies with applicable data protection laws

3Wheels AI will use reasonable safeguards to protect Customer Data and will process such data only as required to provide the Services, comply with law, and fulfill applicable contractual obligations.

Some Services may include artificial intelligence, automation, analytics, or machine-generated outputs.

You understand and agree that:

• AI-generated outputs may not always be accurate, complete, current, or suitable for every purpose
• You are responsible for reviewing and verifying outputs before relying on them
• Outputs should not be treated as legal, financial, medical, tax, or professional advice unless expressly stated and verified by a qualified professional
• 3Wheels AI is not responsible for decisions made solely based on AI-generated outputs
• You must use AI outputs lawfully and responsibly

3Wheels AI may improve, modify, or discontinue AI features at any time.

The Platform may integrate with or link to third-party websites, tools, APIs, payment gateways, cloud services, analytics providers, or software platforms.

Your use of third-party services may be governed by their own terms and privacy policies.

3Wheels AI is not responsible for:

• Third-party content
• Third-party service availability
• Third-party data practices
• Errors or failures caused by third-party systems
• Losses arising from your use of third-party services

Any third-party links or integrations are provided for convenience and do not imply endorsement.

Certain Services may be paid.

If you purchase paid Services, you agree to pay all applicable fees, charges, taxes, and other amounts according to the applicable plan, invoice, proposal, or Service Order.

Unless otherwise stated:

• Fees are payable in advance or as specified in the invoice or Service Order
• Payment obligations are non-cancellable
• Paid fees are non-refundable except where required by law or expressly agreed in writing
• Delayed payments may result in suspension or termination of Services

Payments may be processed through third-party payment providers. 3Wheels AI does not store complete card numbers, UPI PINs, banking passwords, or full payment credentials.

You are responsible for all applicable taxes, duties, levies, or government charges related to your purchase or use of the Services, except taxes based on 3Wheels AI's income.

Where required, taxes may be added to invoices or payment amounts.

3Wheels AI may provide technical support, onboarding support, maintenance, or customer assistance depending on the applicable plan or Service Order.

We will make reasonable efforts to maintain the Platform and minimize interruptions. However, the Platform may be unavailable due to:

• Scheduled maintenance
• Emergency maintenance
• Technical issues
• Internet or hosting failures
• Third-party service disruptions
• Security incidents
• Force majeure events
• Causes beyond our reasonable control

3Wheels AI may modify, suspend, discontinue, replace, or update any part of the Platform or Services at any time.

We will make reasonable efforts to ensure that major changes do not materially reduce the core functionality of paid Services during an active subscription or Service Order, unless required for legal, security, technical, or operational reasons.

All rights, title, and interest in the Platform and Services belong to 3Wheels AI or its licensors.

This includes: Software, Source code, Object code, Website design, User interface, Graphics, Logos, Trademarks, Service marks, Trade names, Databases, Documentation, Workflows, AI systems, Models, Algorithms, Business methods, Content created by 3Wheels AI, Technical infrastructure.

You may not copy, modify, reproduce, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Platform or Services unless expressly permitted in writing.

Nothing in these Terms transfers ownership of 3Wheels AI intellectual property to you.

Subject to these Terms, 3Wheels AI grants you a limited, revocable, non-exclusive, non-transferable license to access and use Platform content solely for your permitted use of the Services.

You may not use Platform content for commercial resale, redistribution, public display, training competing systems, or unauthorized business use without prior written permission.

If you provide suggestions, ideas, improvements, comments, or feedback to 3Wheels AI, you agree that we may use them without restriction or compensation to you.

Feedback may be used to improve our products, services, features, designs, operations, and business.

If either party receives confidential information from the other party, the receiving party agrees to:

• Keep the confidential information secure
• Use it only for the purpose for which it was disclosed
• Not disclose it to unauthorized persons
• Protect it using reasonable care
• Return or delete it upon request, where feasible

Confidential information does not include information that:

• Is publicly available without breach of these Terms
• Was already lawfully known before disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law, court order, or government authority

Confidentiality obligations will survive termination of these Terms.

3Wheels AI handles personal data according to its Privacy Policy.

You are responsible for ensuring that any personal data submitted by you or your users is collected and shared lawfully.

Where applicable, both parties agree to comply with relevant data protection laws, including Indian data protection and information technology laws.

3Wheels AI uses reasonable technical, administrative, and organizational measures to protect the Platform and data.

However, no system is completely secure. You acknowledge that use of the internet, cloud services, and digital platforms involves inherent risks.

You are responsible for:

• Keeping your account credentials secure
• Restricting access to authorized users
• Using secure devices and networks
• Promptly notifying us of suspected unauthorized access

3Wheels AI may suspend or terminate your access to the Platform or Services if:

• You violate these Terms
• You fail to pay applicable fees
• Your use creates security, legal, or operational risk
• Your account is used for unlawful or harmful activity
• Required by law or government authority
• Continued service becomes commercially, legally, or technically impractical

You may stop using the Services at any time. If a Service Order exists, termination will be governed by that Service Order.

Where a specific Service Order permits termination for convenience, either party may terminate the Service Order by giving written notice according to the notice period stated in that Service Order.

If no notice period is specified, either party may terminate by providing 30 days' written notice.

Fees already paid are non-refundable unless otherwise stated in writing or required by law.

Either party may terminate a Service Order or applicable Services if the other party materially breaches these Terms and fails to cure the breach within 30 days after receiving written notice.

3Wheels AI may immediately suspend or terminate access without cure period where the breach involves unlawful activity, security risk, misuse, infringement, fraud, or harm to the Platform or other users.

Upon termination:

• Your right to access the Services will stop
• You must stop using the Platform
• Each party must return or delete confidential information where required
• Unpaid fees will become immediately due
• Provisions intended to survive termination will continue to apply

Termination does not affect rights, obligations, or liabilities that accrued before termination.

The Platform and Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, 3Wheels AI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted availability
• Error-free operation
• Accuracy of outputs
• Suitability for your specific requirements

We do not guarantee that the Services will always be secure, available, accurate, uninterrupted, or free from bugs, errors, viruses, or harmful components.

To the maximum extent permitted by law, 3Wheels AI will not be liable for any:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Punitive damages
• Loss of profits
• Loss of revenue
• Loss of business
• Loss of data
• Loss of goodwill
• Business interruption
• Unauthorized access caused by user negligence
• Third-party service failures

Where liability cannot be fully excluded, 3Wheels AI's total aggregate liability arising from or related to these Terms or the Services shall not exceed the amount paid by you to 3Wheels AI for the relevant Services in the three months immediately preceding the event giving rise to the claim.

If no amount was paid by you, 3Wheels AI's maximum liability shall be limited to INR 1,000.

You agree to indemnify, defend, and hold harmless 3Wheels AI, its founders, directors, employees, contractors, partners, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of applicable laws
• Your User Content or Customer Data
• Your infringement of third-party rights
• Unauthorized data submitted by you
• Misuse of AI-generated outputs
• Third-party claims caused by your actions or omissions

3Wheels AI will not be liable for delay or failure to perform due to events beyond its reasonable control, including:

• Natural disasters
• Fire, flood, earthquake, or severe weather
• War, terrorism, civil unrest, or riots
• Pandemics or public health emergencies
• Government actions
• Internet or telecom failures
• Cloud provider outages
• Cyberattacks
• Labor disputes
• Power failures
• Technical failures beyond reasonable control

If you believe that content on the Platform infringes your copyright or intellectual property rights, you may contact us with:

• Description of the copyrighted work or intellectual property
• URL or location of the allegedly infringing material
• Statement that you believe the use is unauthorized
• Statement that the information provided is accurate
• Proof that you are the owner or authorized representative

These Terms shall be governed by and interpreted according to the laws of India.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith discussions.

If the dispute is not resolved within a reasonable period, the parties may pursue remedies available under applicable Indian law.

Where required or agreed between the parties, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time.

The language of proceedings shall be English.

You may not assign or transfer your rights or obligations under these Terms without prior written consent from 3Wheels AI.

3Wheels AI may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, business transfer, or by operation of law.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Failure by 3Wheels AI to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

Any waiver must be in writing to be effective.

These Terms, together with the Privacy Policy and any applicable Service Order, constitute the entire agreement between you and 3Wheels AI regarding your use of the Platform and Services.

They replace any prior agreements, discussions, or understandings relating to the same subject matter.

3Wheels AI may update or modify these Terms from time to time.

When we update these Terms, we may revise the effective date above. Changes will be posted on the Platform or website.

Your continued use of the Platform after changes are posted means you accept the updated Terms.
